Terms and Conditions
A. General Terms
A.1. Identity
DotBridge BV, registered under company number BE1037.416.681, with its registered office at Harensesteenweg 232b222, 1800 Vilvoorde, Belgium, and reachable via info@dotbridge.be. DotBridge operates under multiple domains: cloud-pbx.be, domainlock.be, capturedmoments.be, digitaltoolkit.be, digikit.be, agendadirect.be, and derivatives. The website and agenda platform is offered as "DotBridge Web Builder"; Chapter B (Web Builder) applies to it in addition to these terms and prevails where they differ.
These terms and conditions apply to all offers, agreements, services, and deliveries provided by DotBridge. By engaging DotBridge, the client acknowledges and fully accepts these terms.
A.2. Services
DotBridge provides IT, consulting, web, and telephony solutions. All services are performed under a best-effort obligation and are billed according to agreed rates, expressed per hour, per day, or in fifteen-minute increments.
Any changes requested after delivery are billed depending on urgency. Non-urgent requests are billed at €25 per fifteen minutes, with an indicative delivery by the end of the next business day. Urgent requests are billed at € 50 per fifteen minutes, with an indicative delivery time of four business hours during working days (Monday to Friday, excluding public holidays, between 9:00 and 17:00). For the Web Builder, changes and design iterations are requested in the client portal (Help → Changes). DotBridge states the price before the work starts; the work is carried out once the price is accepted and, where stated, paid. Changes requested during a trial may be settled together with the confirmation of the subscription.
DotBridge does not operate telecommunications networks and relies on third-party providers such as UCExperts or Dstny. The terms and conditions of these providers apply in addition.
A.3. Term and termination
Contracts are entered into for an initial period of twelve months. Upon expiry, they are automatically renewed for successive twelve-month periods, unless stipulated otherwise.
Web Builder subscriptions run per year from their start date and renew automatically for successive periods of one year, unless terminated at least one month before the renewal date. Termination takes effect at the end of the current year; amounts already paid for that year are not refunded. Reducing or stopping an option (a higher tier, the Pro module, mailbox storage) likewise takes effect from the next renewal date.
Either party may terminate the agreement with one month’s notice. Termination must be submitted in writing via info@dotbridge.be and is only valid upon confirmation of receipt. DotBridge reserves the right to terminate the contract immediately in cases of non-payment, material breach, or misuse of the services.
A.4. Pricing and offers
All prices are exclusive of VAT. Offers remain valid for fourteen days unless stated otherwise. DotBridge reserves the right to modify its pricing at any time, provided that any changes affecting ongoing contracts are communicated at least three months in advance. Price changes for Web Builder subscriptions, options and credits apply from the next renewal date (for credits: from the next monthly period) and are announced at least three months in advance. The client may terminate before the new price applies, without costs.
A.5. Telephony and usage
Outgoing calls made through the 3CX environment are billed per minute by the telecommunications operator at applicable rates. The client is responsible for providing complete and accurate documentation for any number porting requests.
Domain names and telephone numbers remain transferable upon termination of the contract, provided that all outstanding amounts have been paid in full. An address on a DotBridge domain (for example name.digitaltoolkit.be or name.agendadirect.be) is part of the service, is not registered in the client's name and cannot be transferred (see B.7).
A.6. Delivery and goods
Delivery times are indicative only. DotBridge cannot be held liable for delays caused by suppliers or logistics partners. Ownership of goods is transferred only upon full payment. Warranty conditions follow those of the manufacturer or distributor.
A.7. Invoicing and payment
By default, invoices are payable within fourteen (14) days from the invoice date. In the event of late payment, DotBridge may charge interest and additional costs and reserves the right to suspend or terminate services. For the Web Builder, a renewal is payable by its renewal date and a pro-rata charge within fourteen days. If a payment is more than fourteen days late, DotBridge may restrict the client's access to read-only management until payment; the published website remains online. A higher tier that remains unpaid falls back to the credits of the base subscription.
A.8. Liability
DotBridge’s liability is limited to direct damages and, in all cases, capped at the amount invoiced for the relevant service. DotBridge shall not be liable for indirect damages, including data loss, loss of profit, or business interruption.
A.9. Intellectual property
All deliverables remain the property of DotBridge until full payment has been received. The client is granted a non-exclusive right to use the deliverables for internal purposes. DotBridge retains the right to reuse general know-how and non-identifiable elements. The platform, its software, templates and designs remain the property of DotBridge; the client receives a non-exclusive right to use them for its own website for the duration of the subscription. Content provided by the client (texts, photos, logos, data) remains the property of the client; the client grants DotBridge the right to host, process and display it to provide the service. The client guarantees it holds the rights to this content. Upon termination, the client may request an export of its texts and photos within thirty days.
A.10. Confidentiality
Both parties agree to treat all non-public information as confidential, including after termination of the agreement.
A.11. Force majeure
DotBridge shall not be held liable for delays or failures resulting from circumstances beyond its reasonable control, such as technical failures, strikes, or supplier issues.
A.12. Data protection
Personal data is processed in accordance with applicable data protection laws (GDPR). The client remains responsible for the lawfulness of the data provided. A separate data processing agreement may be concluded where necessary. For the Web Builder, the client is the controller of the personal data of its visitors and customers, and DotBridge acts as processor, except for reports under B.9, for which DotBridge is controller. The data processing agreement in Annex forms part of these terms. DotBridge uses sub-processors for hosting, e-mail delivery, text and WhatsApp messages, online payments and domain registration; the current list is available on request. The client is responsible for a lawful basis (in particular consent for newsletters and for reminders by text or WhatsApp) and for the privacy statement on its website.
A.13. Governing law
These terms are governed by Belgian law. Any disputes fall under the exclusive jurisdiction of the courts of Brussels.
B. Specific Terms - DotBridge Web Builder
B.1 Trial
A new website starts with a free trial without obligation. During the trial the client can use the platform, including the Pro module. The trial ends on the date shown in the client portal. If the client confirms the subscription ("Confirm subscription"), the agreement starts retroactively on the first day of the trial; the first contract year and its renewal date are counted from that day. If the trial ends without confirmation, the website remains visible with a notice and its forms are switched off. Three months after the end of the trial, the website and its data are deleted; the client is warned by e-mail thirty days before.
B.2 Subscription and options
The base subscription includes the website, the agenda and a monthly credit budget (the first tier). Options can be added on top of it: a higher tier (the difference in price), the Pro module and mailbox storage. All options share the renewal date of the base subscription. An option added during the year is charged for the remaining months up to that renewal date, counted from the day it starts; a month begun counts as a full month. Options renew together with the base subscription.
B.3 Automatic renewal and reminders
Two months before the renewal date, DotBridge prepares the payment of the next year and informs the client by e-mail; a reminder follows two weeks before the renewal date. The client can pay online or by bank transfer. A renewal can be paid up to two months in advance.
B.4 Credits
The monthly credit budget is used for e-mails, appointments, text messages and WhatsApp messages; each kind costs a number of credits shown in the client portal. The budget runs per monthly period counted from the renewal date; unused credits do not carry over. Prepaid credits can be bought on top of the budget. They are valid for ninety days, are used only once the monthly budget is used up (the oldest first), and are not refundable. When the credits are used up, reminders by text or WhatsApp stop and only the e-mail reminder is sent; newsletters that do not fit are not sent.
B.5 Pro module
The Pro module unlocks additional features as listed in the client portal. Without it, those features return to their standard version; nothing is deleted, and switching the Pro module on again restores them.
B.6 Free subscriptions and bundles
DotBridge may provide a subscription or option free of charge or as part of a bundle invoiced separately. Its price remains visible but is not charged. When the bundle or the free arrangement ends, the regular price applies from the next renewal date, unless the client terminates in accordance with Article A.3.
B.7 Domain names and DotBridge addresses
Domain names are registered through a registrar in the name of the client, who is the holder; the rules of the registry concerned (such as DNS Belgium or EURid) apply. The client is responsible for the accuracy of the holder data. A domain name is billed per full year and renews together with the base subscription. A transfer to DotBridge is charged as one year of registration, which is added to the current registration; the client provides the transfer code. Without a domain name of its own, the website remains available on an address of DotBridge (for example name.digitaltoolkit.be). That address belongs to DotBridge, is not registered in the client's name and cannot be transferred or kept after termination. DotBridge may refuse or change such an address if it infringes the rights of third parties or may cause confusion. An address that is no longer used is not reassigned to another client for at least twelve months.
B.8 Responsibilities of the client
The client is responsible for the content of its website and for the information required by law (including its company details under Book XII of the Code of Economic Law), its terms of sale and its privacy statement. In its webshop and for no-show fees, the client sells or charges in its own name, through its own payment account; DotBridge is not a party to those transactions. The client is responsible for the people it gives access to (extra administrators and guests of the agenda) and for keeping its access details secret. The client removes or amends content when DotBridge asks it to under B.9.
B.9 Reporting websites and illegal content (Digital Services Act)
- Every website on the platform shows a “Report this site” link at the bottom of each page. Anyone can use it to report content they consider illegal or contrary to these terms, such as fraud or phishing, illegal or harmful content, infringement of copyright or trademarks, impersonation, spam or misleading information. Reports can also be sent to info@dotbridge.be. Such a report states the website and page concerned, explains why the content is considered illegal, and gives the reporter’s name and e-mail address.
- A report made through the link requires a confirmed e-mail address. The client and DotBridge each receive the report by e-mail, and the client may answer the reporter directly. The client may not remove, hide or obstruct the link.
- DotBridge handles every report diligently, objectively and within a reasonable time. It may ask the client for an explanation, or to amend the content within a set period. The client cooperates and responds promptly.
DotBridge may make the content inaccessible, or suspend the website temporarily or permanently, when either of the following applies:
- the content is manifestly illegal;
- the client does not act within the set period.
In serious or repeated cases, DotBridge may terminate the agreement with immediate effect (A.3). DotBridge informs the client of such a decision with a statement of reasons and explains how to contest it. It also informs the reporter of the decision. DotBridge may disregard manifestly unfounded or abusive reports.
- A measure under this article does not entitle the client to a refund or compensation. The client indemnifies DotBridge against third-party claims arising from the content of its website.
- For reports, DotBridge acts as controller. It processes the reporter’s e-mail address, the report and the page concerned in order to handle the report, and keeps them for as long as needed, and at most 180 days. The reporter’s e-mail address is shared with the client concerned.
- The single point of contact for authorities and users under the Digital Services Act is info@dotbridge.be. Communication is possible in Dutch, French and English.
B.10 Availability
DotBridge makes reasonable efforts to keep the platform available, but does not guarantee uninterrupted operation. The delivery of e-mails, text and WhatsApp messages depends on third-party providers; DotBridge is not liable for messages that are delayed or not delivered.
